Terms & Conditions for 4-Week 1:1 Business Mentoring

This Agreement is made between:
Your Time Pilates and Alice Johnstone, of 123 Lavenham Road, London, SW18 5ER (the “Coach”), and the individual purchasing the mentorship programme (the “Client”).

In this Agreement, “we”, “us” or “our” refers to Your Time Pilates and Alice Johnstone; “you” or “your” refers to the Client purchasing the programme.

AGREEMENT

1. Definitions

 

1.1 The following terms apply to this Agreement:

 

"Agreement" means this Agreement including any Schedules, and any amendments made and agreed in writing;

 

"Charges" means the amounts specified in Part 4 of Schedule 1: Coaching Services Particulars, and any such amounts as may be agreed in writing by the parties from time to time;

 

"Deliverables" means the services as specified in Part 2 of Schedule 1: Coaching Services Particulars that the Coach has agreed to deliver to the Client under this Agreement;

 

"Effective Date" means the date of execution of this Agreement;

 

"Intellectual Property Rights" means all intellectual property rights wherever in the world, whether registrable or unregistrable, registered or unregistered, including any application or right of application for such rights (including copyright, trade marks, business names, know-how and trade secrets);

 

"Schedule" means any schedule attached to this Agreement;

 

"Services" means the mentorship services specified in Part 1 of Schedule 1: Coaching Services Particulars;

 

"Term" means the term of this Agreement, commencing in accordance with Clause 2.

2. Term

 

2.1 This Agreement shall come into force upon the Effective Date.

 

2.2 This Agreement shall continue in force for a period of four (4) weeks (the "Initial Term"), subject to termination in accordance with Clause 11.

 

3. Services and Service Standards

 

3.1 The Coach shall provide the Services to the Client in accordance with this Agreement and to a professional standard.

 

3.2 The Coach shall use reasonable endeavours to ensure that the Deliverables are provided in accordance with the timetable set out in Part 3 of Schedule 1: Coaching Services Particulars.

 

4. Licence and Intellectual Property

 

4.1 The Coach retains ownership of all intellectual property rights in the materials, tools, frameworks, and resources provided as part of the mentorship.

 

4.2 The Client is granted a non-exclusive, non-transferable, royalty-free, personal licence to use the materials for their own professional use only. The Client shall not copy, distribute, adapt, edit, share, or resell any materials to third parties.

 

5. Charges and Payments

 

5.1 The Client shall pay the Charges in accordance with this Agreement.

 

5.2 The total Fee for the mentorship programme is £579 (paid in full) or two (2) monthly payments of £333.

 

5.3 Payments shall be made in advance through the designated online checkout system. All payments are non-refundable once sessions have commenced.

 

5.4 The Client must pay invoices within three (3) days of issue. Late payments may incur interest at 8% above the Bank of England base rate per annum, calculated daily.

 

5.5 All prices are stated inclusive of any applicable VAT (if applicable).

 

6. Refund Policy

 

6.1 In accordance with UK consumer law, the Client has the right to cancel and obtain a full refund within fourteen (14) days of this Agreement being executed by both Parties.

 

6.2 Where sessions have already taken place within this period, the value of completed sessions will be deducted from any refund due.

 

6.3 After the 14-day cancellation period or once sessions have commenced, no refunds will be issued.

 

7. Client Obligations

 

7.1 The Client agrees to:

(a) attend all sessions promptly and be prepared to engage fully;

(b) provide honest communication and feedback to ensure effective coaching;

(c) implement the strategies and actions discussed;

(d) give a minimum of forty-eight (48) hours’ notice to reschedule a session; failure to do so will result in the session being forfeited.

 

8. Non-Compete

 

8.1 The Client agrees not to reproduce, distribute, teach, or commercially use any frameworks, templates, or materials shared during the mentorship, or to offer similar business mentorship or coaching services using comparable frameworks, for a period of twelve (12) months following completion of the programme.

 

9. Liability and Disclaimer

 

9.1 The Coach provides business mentorship and strategic support only and makes no guarantees regarding financial, business, or personal outcomes.

 

9.2 The Coach shall not be liable for any loss or damage resulting from decisions made or not made by the Client.

 

9.3 The entire liability of the Coach under this Agreement shall not exceed the total amount paid by the Client at the time of any alleged loss.

 

10. Confidentiality

 

10.1 Both parties agree to maintain confidentiality in relation to all sensitive information shared during the mentorship.

 

10.2 The Coach may share anonymised outcomes or testimonials with the Client’s consent.

 

11. Termination

 

11.1 Either party may terminate this Agreement by providing written notice if the other commits a material breach.

 

11.2 Upon termination, all outstanding fees shall become immediately due and payable. No refunds shall be issued for services already delivered.

 

12. Data Protection

 

12.1 The Coach shall comply with all applicable UK data protection legislation, including the UK GDPR.

 

12.2 Personal data will be processed only as necessary to deliver the mentorship services.

 

13. General

 

13.1 This Agreement constitutes the entire agreement between the parties.

 

13.2 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

 

13.3 The courts of England and Wales shall have exclusive jurisdiction over any disputes arising under or in connection with this Agreement.

 

EXECUTION

 

By completing the online checkout and confirming acceptance, the Client acknowledges that they have read, understood, and agree to the terms of this 1:1 Business Mentoring Agreement.

 

SCHEDULE 1: COACHING SERVICES PARTICULARS

Part 1 – Specification of Services

The Coach shall provide the following Services:

- Four (4) private 60-minute coaching sessions via Zoom

- Voxer access for the 4-week duration (Mon–Thurs, office hours)

- Continued access to the Your Time Pilates monthly coaching calls

- Access to relevant templates, tools, and materials as required

 

Part 2 – Deliverables

The Coach shall deliver:

- Personalised mentorship tailored to the Client’s business goals;

- Strategic frameworks to support client acquisition, offer structure, and content planning;

- Access to supporting resources and accountability via Voxer.

 

Part 3 – Timetable

The mentorship will run for a four (4) week period, commencing from the date of the first scheduled session.

 

Part 4 – Charges and Payment

 

The total Fee is £579 (paid in full) or two (2) monthly payments of £333. Payment is due in advance through the online checkout.

 

SCHEDULE 2: COMPLAINTS PROCEDURE

 

1. It is the intention of the Coach that the Client shall be entirely satisfied with the services provided throughout the mentorship.

 

2. Should the Client become dissatisfied at any time, they should:

(a) set out the complaint in writing, including any supporting evidence, to alice@yourtimepilates.com;

(b) identify the outcome sought (e.g. clarification, additional session, or review);

(c) the Coach will objectively assess the complaint and respond in writing within a reasonable time.

 

3. Should it not be possible to resolve any dispute amicably, matters arising from this Agreement shall be handled by an independent mediator, with costs shared equally between the Parties.
